By accessing this website or engaging our services, you agree to these Terms of Service. If you do not agree, do not use the site or retain our services. Specific campaign work is governed by a separate written agreement or statement of work; where that agreement conflicts with these terms, the written agreement controls for that engagement.
We provide advertising and marketing services including, without limitation, media planning, paid search and social advertising, local SEO and listings support, creative and copy development, and related consulting. Scope, fees, timelines, and deliverables are set out in your engagement documents. Website content describing services is informational and does not itself create a binding service contract.
You agree to provide accurate business information, timely feedback, and any access (ad accounts, websites, brand assets) reasonably needed to perform the work. You are responsible for the legality of your products, services, claims, and advertising content that you approve. You represent that you have authority to grant us access to the accounts and materials you provide.
Fees, billing cycles, and payment terms are specified in your engagement agreement. Ad platform spend (Google, Meta, and similar) is typically billed by the platform to your payment method and is separate from our management fees unless otherwise stated in writing. Late or failed payments may result in pause or termination of services.
Materials we create specifically for you under a paid engagement (such as approved ad copy and creative) are licensed to you for use in connection with the campaigns we run, subject to your engagement terms. Our methodologies, templates, tools, processes, and pre-existing materials remain our property. This website’s design, copy, and branding are owned by Ad Agent, LLC and may not be copied or reused without permission.
Campaigns often run on third-party platforms (for example Google Ads or Meta Ads). Those platforms have their own terms, policies, and availability. We are not responsible for platform outages, policy changes, account suspensions, or auction dynamics outside our control. Performance estimates are not guarantees.
Advertising results vary. We do not guarantee specific rankings, lead volumes, revenue, ROAS, or other outcomes. Recommendations are based on professional judgment and available data at the time; markets, competition, and platform algorithms change.
To the fullest extent permitted by law, Ad Agent, LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the website or our services. Our aggregate liability for any claim related to services will not exceed the fees you paid us for the three months preceding the claim, except where prohibited by law.
You agree to indemnify and hold harmless Ad Agent, LLC and its members, employees, and contractors from claims arising out of your advertising content, products or services, misuse of the website, or breach of these terms or your engagement agreement.
You may use this website for lawful purposes only. You may not attempt to disrupt the site, scrape it in a way that burdens our systems, or misrepresent your identity when contacting us. We may update or discontinue site content at any time without notice.
You or we may end a service engagement according to the notice and terms in your written agreement. We may suspend website access or refuse service where we reasonably believe these terms have been violated.
These terms are governed by the laws of the State of Mississippi, without regard to conflict-of-law rules. Courts located in Hinds County, Mississippi shall have exclusive jurisdiction over disputes arising from these terms or the website, except where your engagement agreement provides otherwise.
We may revise these Terms of Service from time to time. The “Last updated” date at the top will change when we do. Continued use of the website after changes constitutes acceptance of the revised terms. Material changes to an active paid engagement will be communicated under that engagement’s terms.
